Introduction
We form new limited companies according to customer requirements. Normally it takes one week to form a new company after we receive all the documents sent by the shareholders (Affidavits, Power of Attorney and Articles of Incorporation), which would be provided by us. Our service includes all the necessary additional filings and registrations so that the newly-formed company is ready to trade. These include reserving the reservation name, drafting the articles of association, depositing the share capital at a chosen bank, submission of the file at the Trade Register and undertaking of the certificate of incorporation and registration for VAT number. You can choose any name to denote and distinguish your business, provided that it is available (not already used by someone else). To avoid delays, we normally ask you to provide us with two other alternative names. A Croatian limited company may have a single shareholder, who may also be its sole representative and manager (director). The minimum share capital for a limited liability company is 2 620 €. The company may be seated in any city or resident location in Croatia. Its subsequent management address may differ from the registered address.

Dividend / shares tax is 12% since March 2012 (under 12 000,- HRK payment per year and no dividend / shares tax in case the dividend is invested in increasing the shares)
Employment and residence:
EU citizens can work and reside in Croatia without work and residence permit since 1st July, 2013.
Non-EU citizens:
Work and residence permit is required for the employment in Croatia. Such permit is issued by the authorities for one year and must be extended each year.
Work and residence permit is issued by the authorities on the basis of civil rights for D.o.o. managing directors.
In case D.o.o. has a managing director only - and has no employees - who does not stay in Croatia more than 90 days per year, no need for work or residence permit. In such case not all the work-related expenses may be claimed (e.g.: costs of the vehicle, fuel etc.) Foreigners’ work is ruled by quotas in Croatia and the year quotas are issued by the Ministry of Labour. Quotas can be required also in the Ministry of Labour.
